1. Acceptance of Terms

By accessing or using the website located at https://www.beginrfp.com/ (the "Site") and the AI-powered RFP analysis and compliance matrix generation services provided therein (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "User") and BeginRFP ("Company," "we," "us," or "our").

If you do not agree to these Terms, you are strictly prohibited from using the Service and must immediately discontinue use.

2. Description of Service and AI Disclaimer

2.1 The Service

BeginRFP provides a software-as-a-service (SaaS) platform that utilizes Artificial Intelligence (AI) to analyze Request for Proposal (RFP) documents uploaded by users and generate summaries, compliance matrices, and related outputs.

2.2 Artificial Intelligence Disclaimer

You explicitly acknowledge and agree that the Service utilizes Large Language Models (LLMs) and other AI technologies. You understand that:

• (a) AI technologies can produce "hallucinations," errors, omissions, or factually incorrect information.
• (b) The summaries, matrices, and analyses generated by the Service are intended solely as a draft aid to assist you. They are not a substitute for human review or legal advice.
• (c) It is your sole responsibility to verify every output generated by the Service against the original RFP documents. BeginRFP does not guarantee that the generated output captures every requirement, deadline, or compliance factor mandated by the RFP issuer.

2.3 No Guarantee of Results

We do not guarantee that the use of our Service will result in a successful bid, contract award, or any specific business outcome. We are not responsible for rejected proposals or lost revenue.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities. You must notify us immediately of any unauthorized use of your account.

4. User Content and Data

4.1 User Content

"User Content" refers to any text, files (such as PDF or Word documents), images, or other material you upload, input, or submit to the Service.

4.2 Ownership of User Content

You retain full ownership of your User Content. We do not claim ownership rights over the RFPs or documents you upload.

4.3 License to Process

By uploading User Content, you grant BeginRFP a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of providing the Service to you (e.g., analyzing the text to generate the matrix).

4.4 Data Privacy and Confidentiality

We take the confidentiality of your documents seriously. Our use of your data is governed by our Privacy Policy. We do not use your proprietary User Content to train our public-facing AI models for other users unless you explicitly opt-in or unless the data is anonymized and aggregated.

5. Intellectual Property Rights

5.1 Company IP

The Service, including its source code, database, functionality, software, website designs, audio, video, text, photographs, and graphics (excluding User Content), and the trademarks, service marks, and logos contained therein, are owned or controlled by us or licensed to us and are protected by copyright and trademark laws.

5.2 Generated Output

Subject to your compliance with these Terms and payment of applicable fees, BeginRFP assigns to you all rights, title, and interest in and to the specific outputs (e.g., the specific compliance matrix) generated by the Service from your User Content.

6. Subscription and Payment

6.1 Subscription Plans

The Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of subscription plan you select.

6.2 Free Trials

If you register for a free trial, you may be required to enter billing information. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial expires.

6.3 Cancellation

You may cancel your Subscription at any time through your account management page. Cancellation will take effect at the end of the current billing period. You will not receive a refund for the current billing cycle, but you will retain access to the Service until the end of the billing cycle.

6.4 Price Changes

BeginRFP reserves the right to adjust pricing for our Service or any components thereof in any manner and at any time. Any price changes will take effect following notice to you.

7. Prohibited Activities

You agree not to do any of the following:

• (a) Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• (b) Upload documents that contain classified information, state secrets, or highly sensitive personal data (PII) that you are not authorized to upload to a third-party cloud processor.
• (c) Reverse engineer, decompile, disassemble, or attempt to discover the source code or algorithms of the Service.
• (d) Use the Service to build a competitive product or service.
• (e) Share your account credentials with multiple users (unless purchased as a team plan).

8. Disclaimer of Warranties

The Service is provided on an "as-is" and "as available" basis. To the maximum extent permitted by law, BeginRFP disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the results obtained from the use of the Service will be accurate or reliable.

9. Limitation of Liability

In no event will BeginRFP, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any content obtained from the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.

In no event shall BeginRFP's aggregate liability for all claims relating to the Service exceed the greater of one hundred U.S. dollars ($100.00) or the amounts paid by you to BeginRFP for the past twelve months of the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless BeginRFP and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) your violation of these Terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
